Acceptance of the Conditions

1. Together with any updated or new terms that Moriihub Portal – FZCO, Inc. (“Moriihub Portal – FZCO”) may publish from time to time, you accept and agree to be governed by the terms and conditions listed below (collectively, the “Terms of Use”). Please do not access or use this Site if you do not agree to all of the terms and conditions stated in the Terms of Use.
2. These Terms of Use may be modified from time to time by Moriihub Portal – FZCO. You agree to these modifications if you keep using the site or have access to it. The Terms of Use, regulations, and policies that are in effect at the time of your use of the Site will apply to your access to and use of it. To see the most recent terms, please periodically visit the “Terms of Use” link on the moriihub.ae homepage. Your license to access or use this site will automatically expire if you violate any of the terms of use.

Users’ Restricted License to Intellectual Property

1. You may access and use the Site, subject to your compliance with these Terms of Use, any relevant license agreement with Moriihub Portal – FZCO, and the law. All rights, title, and interest in the Site remain solely with Moriihub Portal – FZCO, which also retains all rights not specifically granted by these Terms of Use. In its sole discretion, Moriihub Portal – FZCO may, at any time, for any reason, with or without notice, alter, replace, or terminate the Site or any portion of it. The Site is made accessible by Moriihub Portal – FZCO “as is” and “as available”
2. Copyright, trademark, patent, trade secret, and other intellectual property laws and treaties protect all content on this site, including but not limited to Images, Footage, Music, and related metadata (collectively, the “Moriihub Portal – FZCO Content”). They also protect the choice and organization of the Moriihub Portal – FZCO Content. It is against these laws and our Terms of Use to use any Moriihub Portal – FZCO Content without authorization. Moriihub Portal – FZCO does not grant you any authority, either express or implied, to use the Site or any Moriihub Portal – FZCO Content, unless otherwise specified above or in a separate licensing agreement between you and Moriihub Portal – FZCO. You promise not to download, send, alter, republish, frame, link to, copy, change, adapt, or generate any content.

Moriihub Portal – FZCO Trademarks

1. The word “Trademark(s)” refers to any common law or registered trademarks, logos, service marks, trade names, Internet domain names, or other indications of origin that Moriihub Portal – FZCO uses now or in the future for the purposes of these Terms of Use.
2. Nothing contained herein grants or shall be construed to grant you any rights to use any Moriihub Portal – FZCO Trademark, unless expressly conferred by these Terms of Use.
3. You agree that you will not use Moriihub Portal – FZCO’s Trademarks in any manner that might tarnish, disparage, or reflect adversely on such Trademarks or Moriihub Portal – FZCO.
4. You agree that you will not contest or otherwise challenge (e.g., in any legal action or otherwise), or assist or encourage any other person or entity to contest or challenge, the validity of any of Moriihub Portal – FZCO Trademarks or the Trademark rights claimed by Moriihub Portal – FZCO.
5. You agree that you will not use any Moriihub Portal – FZCO Trademark or any variant thereof including misspellings) as a domain name or as part of a domain name regardless of the top-level domain, or as a metatag, keyword, or any other type of programming code or data.
6. You may not at any time, adopt or use, without Moriihub Portal – FZCO’s prior written consent any word or mark which is similar to or likely to be confused with Moriihub Portal – FZCO’s Trademarks.
7. The look and feel of the Moriihub Portal – FZCO website, including all page headers, custom graphics, button icons, and scripts, is the trade dress and/or trademark or service mark of Moriihub Portal – FZCO and may not be copied, imitated or used, in whole or in part, without the prior written consent of Moriihub Portal – FZCO.
8. All other trademarks, product names, and company names or logos used or appearing on the Moriihub Portal – FZCO website are the property of their respective owners. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by Moriihub Portal – FZCO, unless expressly so stated.
9. You may not use a Moriihub Portal – FZCO trademark, logo, Image or other proprietary graphic of Moriihub Portal – FZCO to link to the Moriihub Portal – FZCO website without the prior written consent of Moriihub Portal – FZCO.
10. You may not frame or hotlink to the Moriihub Portal – FZCO website or any Image without the prior written consent of Moriihub Portal – FZCO.

Details That You Offer

1. Moriihub Portal – FZCO(or outside parties working on its behalf) might gather data about how you use the website. The third-party platforms that you use to access the Site may gather data about your usage of those platforms and provide that data to Moriihub Portal – FZCO in accordance with your agreement with the relevant third-party platform. All such information will be collected and used by Moriihub Portal – FZCO in accordance with this Terms of Use, the Moriihub Portal – FZCO Privacy Policy, and any applicable laws at all times.
2. Moriihub Portal – FZCO will use and protect your personal information, such as your name and address, in accordance with the Moriihub Portal – FZCO Privacy Statement, the contents of which are incorporated by reference into these Terms of Use.

Your Content

1. Any image, video, text, audio, or other content that you upload or post to the website (collectively, “Your Content”) is subject to the following representations and warranties made by you: (i) you grant the licenses set forth herein; (ii) Moriihub Portal – FZCO will not be required to obtain licenses from third parties or pay royalties with respect to Your Content; (iii) Your Content does not violate the rights of any third party, including rights to privacy and intellectual property; and (iv) Your Content complies with these terms of use and all applicable laws.
2. By submitting Your Content, you give Moriihub Portal – FZCO permission to use Your Content for editing and displaying on the Site, as well as for archiving or preserving Your Content for disputes, legal proceedings, or investigations. This limited, worldwide, non-exclusive, royalty-free license and right to copy, transmit, distribute, publicly perform and display (through all media now known or hereafter created), and to make derivative works from Your Content. The aforementioned licenses will remain in effect unless and until you remove Your Content from the Site, in which case they will expire in a time frame that is appropriate for the business. The license for legitimate archival/preservation purposes shall remain in effect indefinitely, notwithstanding the previous statements.
3. You may not upload, post, or transmit any video, image, text, audio recording, or other content that:
   • Infringes any third party’s copyrights or other intellectual property rights or any right of publicity or privacy
   • Contains any pornographic, defamatory, or otherwise unlawful or immoral content.
   • Exploits minors
   • Depicts unlawful or violent acts
   • Depicts animal cruelty or violence towards animals
   • Promotes fraudulent schemes or gives rise to a claim of deceptive advertising or unfair competition or
   • Violates any law, statute, or regulation.
4. Without first obtaining a license to use such Moriihub Portal – FZCO Content, you are not permitted to utilize any of it for any purpose. The applicable license agreement that you and Moriihub Portal – FZCO individually signed into will govern any use of Moriihub Portal – FZCO Content by you. Copyright infringement occurs when any watermarked or unlicensed Moriihub Portal – FZCO Content is shown or made available to the public, whether it is included in a derivative work or not.

Infringement Claims / DMCA Notices

1. If you believe that any Image or other material made available by Moriihub Portal – FZCO infringes upon any copyright that you own or control, you may notify Moriihub Portal – FZCO in the manner set forth in our DMCA Copyright Infringement Notice Policy.

Limitations

1. You agree that you shall not:
   • Engage in any conduct that shall constitute a violation of any law or that infringes the rights of Moriihub Portal – FZCO or any third party.
   • Violate any applicable laws or regulations related to the access to or use of the Site, or engage in any activity prohibited by these Terms of Use.
   • Violate the rights of Moriihub Portal – FZCO or any third party (including rights of privacy and publicity) or abuse, defame, harass, stalk or threaten another.

Restriction and Termination of Use

1. At any moment, without previous warning or obligation to you, Moriihub Portal – FZCO may, in its sole discretion, prohibit, restrict, deactivate, suspend, or terminate your access to all or part of the Site and/or Moriihub Portal – FZCO Content. It is strictly forbidden for you to engage in any behavior that might, in the sole discretion of Moriihub Portal – FZCO, prevent any other person or entity from using or enjoying the Site. Failure to do so may result in the immediate termination of your access to the Site.

Links to Third Party Sites

1. You understand and agree that Moriihub Portal – FZCO makes no warranties of any kind, express or implied, and accepts no responsibility for any content or practices of such third parties or their platforms in the event that the Site is made available through any third-party platform, or if Moriihub Portal – FZCO provides links from the Site to any third-party platform or permits any third party to link from its platform to the Site. Moriihub Portal – FZCO does not manage these platforms; these links are provided and/or permitted by Moriihub Portal – FZCO purely for your convenience. Any link included here does not imply endorsement, affiliation, or adoption by Moriihub Portal – FZCO.

Warranties and Disclaimers

1. Your use of the Site is at your own risk. The Site is provided by Moriihub Portal – FZCO under these terms of use “as is” without warranty of any kind, either express, implied, statutory or otherwise. Moriihub Portal – FZCO expressly disclaims any and all warranties of any kind, whether express or implied, to each and any service available from the Site, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any other warranty that might arise under any law. Without limiting the foregoing, Moriihub Portal – FZCO makes no warranty that: (i) the Site will meet your requirements (ii) access to the Site will be uninterrupted (iii) the quality of the Site will meet your expectations and (iv) any errors or defects in the site, services or materials will be corrected. Moriihub Portal – FZCO makes no representations or warranties that the Site will be permitted in your jurisdiction, that any of Your Content submitted by you will be available through the Site or will be stored by the Site, that the Site will meet your needs, or that Moriihub Portal – FZCO will continue to support any particular feature of the Site. To the extent any disclaimer or limitation of liability does not apply, all applicable express, implied, and statutory warranties will be limited in duration to a period of thirty (30) days after the date on which you first used the Site, and no warranties shall apply after such period.

Indemnification

1. You acknowledge that Moriihub Portal – FZCO, its subsidiaries, affiliates, licensors, employees, agents, third-party information providers, submitters, and independent contractors shall be held harmless and will be responsible for defending, against all claims, damages, costs, liabilities, and expenses (including reasonable attorneys’ fees) resulting from or connected to your behavior, your use of or inability to use the Site, your breach or alleged breach of the Website Terms of Use or of any representation or warranty contained herein, your unauthorized use of the Moriihub Portal – FZCO Content, or your infringement of another person’s rights.

Miscellanous

1. Any dispute or action arising out of or relating to this Agreement, or the breach thereof, shall be resolved amicably, without going to court, by binding arbitration conducted in accordance with the Commercial Arbitration Rules of the American Arbitration Association or of the International Centre for Dispute Resolution in force on the date of the commencement of arbitration. Any court having jurisdiction over the relevant party or its assets may enter a judgment on the arbitrator(s)’ award. The state and county of UAE shall serve as the arbitration’s location. English will be used as the arbitration’s language. There will only be a single arbiter. In the arbitration, each side will be responsible for its own fees. In addition, Moriihub Portal – FZCO shall have the right, if it deems it necessary or desirable, to start and pursue any legal action or proceeding in any court of competent jurisdiction in order to obtain an injunction or other relief against you.
2. These Terms of Use are governed by and shall be construed in accordance with the laws of the State of UAE, without respect to its conflict of laws principles.
3. In the event of any conflict between these Terms of Use and any license agreement you enter with Moriihub Portal – FZCO, the terms of such license agreement shall control.
4. These Terms of Use shall be construed neither against nor in favor of any party, but rather in accordance with the fair meaning of the language hereof. The invalidity or unenforceability of any part of these Terms of Use shall not affect the validity or enforceability of the balance hereof.
